CityTime Administrative Agreement

SAIC entered into a five-year administrative agreement with the U.S. Army on behalf of all federal agencies confirming SAIC’s continuing eligibility to enter into and perform federal contracts in exchange for SAIC’s agreement to maintain a contractor responsibility program, including retaining a corporate monitor and providing certain reports to the Army. The agreement followed SAIC’s March 2012 deferred prosecution agreement with the U.S. Attorney’s Office to resolve claims of fraud occurring on the CityTime information technology contract with New York City (see SAIC instance, “CityTime Contract Fraud Settlement”). Contractor Integrity Solutions, LLC, appointed by the U.S. Attorney’s Office to serve as the monitor under the deferred prosecution agreement, will also serve as the monitor under the administrative agreement. SAIC will be allowed to request termination of the administrative agreement after three years.
