Steinberg v. McKesson (Breach of Fiduciary Duty Re: Opioids)
McKesson shareholders alleged the company’s board and senior officers breached their fiduciary duties of oversight in the sale and distribution of opioids. The plaintiffs alleged that after McKesson entered into settlements with federal regulators in 2008 (see McKesson instance, “Federal Drug Reporting Violations”), the company failed to implement proper oversight mechanisms to identify and report suspicious opioid orders, which led to a second set of regulatory settlements in 2017 (see McKesson instance, “Federal Settlement of Suspicious Order Reporting Practices”) and exposed the company to potential liability from numerous civil lawsuits. In January 2020, McKesson settled the matter for $175 million.
