737 Max Shareholder Derivative Litigation

Boeing paid $237.5 million to settle a shareholder derivative lawsuit alleging the company failed to adequately oversee development of the 737 Max. The company also agreed to shore up its corporate governance and compliance program and adopt enhanced safety and oversight protocols. The lawsuit accused current and former Boeing directors and officers of consciously breaching their fiduciary duties and acting with gross negligence in connection with their oversight of the 737 Max’s design and development.
