Shareholder Derivative Lawsuit

Regeneron settled a shareholder derivative lawsuit alleging that certain company directors breached their fiduciary duties by awarding themselves excessive compensation from the company’s equity compensation plans between 2013 and 2016. As part of the settlement, Regeneron agreed to significantly reduce the compensation paid to its non-employee directors and board chairman (resulting in a $44.5 million financial benefit to the company). Regeneron also agreed to institute certain governance reforms concerning director compensation.
